Indemnity of Minitab Inc.
You agree to indemnify and hold Minitab Inc., its subsidiaries, licensors, and third-party service providers harmless from any claim, demand, cause of action, debt, loss, or liability, including reasonable attorneys' fees and other professional fees, to the extent that such action is based upon, arises out of, or relates to a breach of this Agreement or your use of the Services. This indemnity shall survive the termination of this Agreement.
Miscellaneous Terms
This Agreement constitutes the entire agreement between you and Minitab Inc. with respect to its subject matter, superseding any prior oral or written agreements between you and Minitab Inc. relating to such subject matter. The failure of Minitab Inc. to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If a court of competent jurisdiction finds any provision of this Agreement to be invalid, the court should endeavor to give effect to the parties' intentions to the maximum extent consistent with applicable law, and the other provisions of this Agreement shall remain in full force and effect. The section headings used in this Agreement are for convenience only and have no legal or contractual effect. Any notices to Minitab Inc. shall be in writing and sent to the person named below. If any provision of this Agreement is held to be unenforceable, it shall be deemed to be several from this Agreement and all other terms and conditions shall remain in full force and effect.
Controlling Law and Jurisdiction
